PREAMBLE – ACCEPTANCE OF TERMS

Any order placed on the website https://www.shieldformations.com, or through a payment link sent directly to the Client, implies the full and unreserved acceptance of these Terms of Service. The Client acknowledges having read these Terms before validating any order and declares accepting them without restriction.

NATURE OF SERVICES – LIMITATION OF LIABILITY

The Provider specializes in administrative services, document management, and corporate filing formalities. The Client expressly acknowledges that the Provider is NOT:

  • A law firm and does not provide legal advice.

  • An accounting firm or CPA and does not provide strategic tax advice.

  • A bank, financial institution, or payment intermediary.

The services consist exclusively of executing standardized administrative procedures based on information provided by the Client. The Client remains solely responsible for the legality of their business activities and their tax, social, and regulatory obligations in their country of residence and the United States.


ARTICLE 1 – DEFINITIONS

  • Client: Any individual or legal entity subscribing to the Services.

  • Services: All benefits and formations offered by the Provider.

  • LLC Package: A fixed-price offer for company formation and advisory.

  • Registered Agent: An entity legally authorized to receive official documents on behalf of the LLC.

  • Third-Party Partners: Providers and administrations involved in the Services (IRS, Secretary of State, Registered Agents, etc.).


ARTICLE 2 – ACCESS TO SERVICES & IDENTITY VERIFICATION (KYC)

Access to Services is subject to identity verification (Know Your Customer) as required by international anti-money laundering regulations.

2.1 Required Documentation: The Client agrees to provide accurate and valid documentation, including a valid government ID and a complete residential address.

2.2 Accuracy of Declarations: Any false declaration or falsified document will result in immediate contract termination without refund and may be reported to the competent authorities.

2.3 Excluded Activities: The Provider reserves the right to refuse service for any activity deemed illegal or restricted (e.g., weapons, narcotics, or sanctioned territories).


ARTICLE 3 – DESCRIPTION OF SERVICES

3.1 Company Formation: Name availability check, preparation, and filing of formation documents with the Secretary of State.

3.2 EIN Acquisition: Preparation and filing of the EIN application with the IRS. Delays depend solely on the IRS and cannot be guaranteed by the Provider.

3.3 Internal Documents & Address: Provision of a standard Operating Agreement template and a professional administrative address for legal mail.

3.4 Banking Integration Assistance: Administrative support to facilitate opening professional bank accounts. This is an obligation of means; the final decision belongs exclusively to the banking institutions.

3.5 Multilingual Support: Dedicated guidance in English, French, or Spanish regarding administrative steps, excluding personalized legal or tax advice.


ARTICLE 4 – FINANCIAL CONDITIONS

4.1 Pricing: Prices are fixed and communicated before order validation. Payments are made in US Dollars (USD) via Stripe.

4.2 Payment Plans: If offered, a split payment requires an initial deposit to start the process, with the balance due within 10 days. Failure to pay the balance allows the Provider to suspend services without refund.

4.3 Annual Renewal: To maintain “Good Standing,” certain services (Registered Agent, Annual Reports) require annual renewal. This is optional, but failure to renew may result in the loss of the company’s legal status.


ARTICLE 5 – CANCELLATION & REFUNDS

Since the Services involve personalized administrative filings, no refund will be issued once the filing process has begun. If a request is made before any processing starts, a partial refund may be granted, minus administrative fees. Bank account denials by third-party institutions do not constitute a valid ground for a refund.


ARTICLE 6 – INTELLECTUAL PROPERTY

All content, guides, and templates provided are the exclusive property of the Provider. Any unauthorized reproduction or distribution is strictly prohibited.


ARTICLE 7 – GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the State of New Mexico. Any dispute shall be subject to the exclusive jurisdiction of the courts in Bernalillo County, Albuquerque, NM.
